Welcome to FORT (“Company,” “we,” “our,” or “us”).

These Terms of Service (“Terms”) govern your access to and use of our website, analytics dashboards, and related software tools designed primarily but not exclusively for the wine industry (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms. If you do not agree, please discontinue use immediately.

1. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use our Services.
By using the Services, you confirm that you meet these requirements and that the information you provide is accurate and complete.

2. Account Registration

To access certain features (such as analytics dashboards, data exports, or integration tools), you may need to create an account.

You agree to:

• Provide accurate and current information.

• Maintain the confidentiality of your login credentials.

• Notify us promptly of any unauthorized access or security breach.

You are responsible for all activity that occurs under your account.

3. Use of Services

You may use our Services solely for lawful business purposes related to wine (or other product) sales, marketing, logistics, and performance analytics.
You agree not to:

• Copy, modify, or distribute any portion of our software or interface without authorization.

• Access the Services using automated systems or scraping tools.

• Upload any malicious code, viruses, or unauthorized data.

• Use the Services to violate any laws or third-party rights.

We may suspend or terminate access for any account found in violation of these Terms.

4. Subscriptions, Billing, and Payment

Access to premium analytics features, dashboards, or data exports may require a paid subscription.

Billing Terms:

• Subscription fees are billed according to the plan you select through our payment portal.

• Payments are processed securely via our approved payment processor.

• Subscriptions automatically renew unless canceled before the renewal date.
  
  

Cancellation and Refunds:

• You may cancel your subscription at any time through your account settings.

• Cancellations take effect at the end of the current billing cycle.

• Except where required by law, payments are nonrefundable.
  
  

We may update pricing or plans, with notice provided before changes take effect.

5. Data Ownership and Usage

You retain ownership of all company, sales, and customer data that you upload or integrate into the platform (“Your Data”).

By using our Services, you grant us a limited, nonexclusive license to host, process, and analyze Your Data solely to provide and improve the Services.

We will never sell or share Your Data with third parties without your explicit consent. Aggregated or anonymized data may be used for performance benchmarking or product development purposes.

6. Data Security and Privacy

We take data privacy seriously.
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, store, and protect information.

While we employ the highest industry-standard safeguards, no system is completely secure, and we cannot guarantee absolute data security.

7. Intellectual Property

All platform components — including visualizations, charts, algorithms, user interface design, and underlying software — are the intellectual property of FORT and its licensors.

You are granted a limited, nontransferable license to use the Services for your internal business analytics.

You may not copy, modify, decompile, resell, or create derivative works from our software or visual assets.

8. Service Availability and Updates

We strive to maintain uninterrupted operation of our Services but do not guarantee constant availability.

We may update, modify, or suspend features as needed to improve performance or security.

We are not liable for any downtime, delays, or data loss arising from scheduled maintenance or unforeseen outages.

9. Third-Party Integrations

Our Services may connect with third-party tools or APIs (e.g., ecommerce platforms, compliance systems, POS systems, or CRMs).

We are not responsible for the accuracy, functionality, or security of third-party integrations.
You are responsible for complying with any third-party terms associated with those services.

10. Disclaimer of Warranties

The Services are provided “as is” and “as available”, without warranties of any kind, express or implied.

We make no warranty that:

• The Services will be error-free or uninterrupted.

• Data or analytics results will be accurate, complete, or suitable for a particular purpose.

• Any bugs or issues will be corrected immediately.

You use the Services at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law, FORT and its affiliates shall not be liable for:

• Any indirect, incidental, or consequential damages,

• Loss of data, revenue, or profits,

• Or any amount exceeding the total fees paid by you during the twelve (12) months preceding the claim.
  
  

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless FORT, its employees, and affiliates from any claims or damages arising out of your use of the Services or violation of these Terms.

13. Termination

We may suspend or terminate your account if you breach these Terms or misuse the Services.

Upon termination, your access to the platform and data may be disabled.  Certain obligations (such as data confidentiality and payment of outstanding fees) will survive termination.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Any disputes will be resolved exclusively in the state or federal courts located in Marin County, California. 

15. Changes to These Terms

We may revise these Terms periodically.  Any changes will be posted on this page with an updated “Effective Date.”

Your continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
